Terms

Clear conditions before the material enters examination.

DÉPHASAGE provides independent pre-release examination of defined high-stakes communication. These terms govern use of the site and engagements accepted in writing. Submission alone does not create an engagement.

01

Acceptance and engagement

An engagement begins only when DÉPHASAGE confirms acceptance in writing and the scope, fee, delivery date and deliverable have been agreed. Website enquiries and submissions are requests for review, rather than contracts or automatic acceptance.

Written acceptance · Agreed scope
02

Nature of the work

The service is an independent examination of material before release. It identifies pressure points, likely readings, structural risks and possible public consequences. It is not representation, approval, endorsement or crisis management.

Examination · No representation
03

Material and context

The client supplies complete and accurate material and all relevant context at the beginning. Missing material, substantial revisions or additional objects may require a revised scope, fee and delivery date.

Complete material · Fixed object
04

Client authority

The client confirms that they are authorised to provide the submitted material and that doing so does not breach third-party rights, contractual duties or confidentiality obligations.

Authority · Third-party rights
05

Fees and payment

The fee is based on the agreed scope. Work begins after payment or written payment terms have been confirmed. Late or incomplete payment may pause examination or delivery.

Quoted in advance · Confirmed payment
06

Timing and delivery

Turnaround begins once payment, complete material and relevant context have been received. Delivery dates remain provisional until confirmed in writing. Delayed responses or new information may move the date.

Complete intake · Confirmed delivery
07

Confidentiality

Submitted material is treated as confidential and used for the agreed examination. DÉPHASAGE will not publish the material, identify the client or use the engagement as a case study without written permission, except where disclosure is required by law.

Confidential · No public use without permission
08

Independence

DÉPHASAGE does not act on behalf of the client, communicate with third parties, enter the internal approval chain or assume a retained advisory role unless this is separately agreed in writing.

Outside the room · No retained interest
09

Deliverable and revisions

The deliverable is the Examination Note or other written determination described in the engagement confirmation. Unless stated otherwise, the fee does not include rewriting, implementation, negotiation, continuing advice or repeated revision rounds.

Written determination · Finite endpoint
10

Responsibility and outcomes

The client retains the final release decision and responsibility for the material. An examination cannot guarantee an audience response, publication outcome, regulatory treatment, reputational effect or the absence of disagreement.

Client decision · No outcome guarantee
11

Professional boundaries

DÉPHASAGE does not provide legal, financial, medical or therapeutic advice. Specialist counsel may be required. Work may be declined or stopped where a matter falls outside scope, is unlawful or cannot be examined responsibly.

Specialist advice may be required
12

Liability, law and changes

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that boundary, responsibility is governed by the written engagement and applicable law. These terms are governed by the laws of England and Wales.

England and Wales · Current version

These terms establish the boundary of the examination. The written engagement establishes its precise scope.
